This Challenge is sponsored by Mobilize entity of RENAULT SAS (registered in France under the number 780 129 987) 122 avenue du Général Leclerc, 92100 Boulogne-Billancourt FRANCE] (the “Sponsor”).

The aim of these Rules is to set out the terms and conditions governing your participation in the Challenge. By participating in this Challenge, you fully and unconditionally agree to comply with these Rules.  If you do not agree with any of these Rules, do not register for this Challenge and do not submit an entry.

1.      TERM

This Challenge begins on the 7th of March at 8:00H AM [Paris time] and ends on the 30th of June the latest at 11:59H PM GMT+01/02 Paris time. The Challenge will be accessible 24 hours a day on the dedicated Challenge website operated by Agorize at [https://www.agorize.com/en/challenges/mobility-contest-2023-mobilize?lang=en] (“the Challenge website”), subject to possible temporary IT maintenance operations. Dates and times in these Rules refer to GMT+01/02 Paris time.

2.     AGREEING TO THE RULES

Any eligible person who is registered on the Challenge website and enrolls to participate in the Challenge (“Participant” or “You”), is required to review and accept these Rules. By accessing and accepting these Rules, You:

  • enter into a valid and enforceable contractual relationship with the Sponsor regarding participation in the Challenge. The registration and enrolment in the Challenge does not set up any subordination relationship between the Sponsor and the Participant, and
  • fully and unconditionally agree to comply with these Rules. Participants express their agreement by checking an online box while enrolling for the Challenge.

In case of non-respect of these Rules, the Participant will be immediately disqualified from the Challenge and no prize will be awarded.

3.     REGISTRATION AND PARTICIPATION IN THE CHALLENGE

To take part in the Challenge, we must receive your completed registration by  11:59 PM GMT+01/02 Paris time, the 30th of April. To register, the Participant must first have created a user account on the Challenge website, and must have truthfully and accurately completed required information, such as full name, email address, etc.

Any registration based on inaccurate, false or incomplete information will result in the Participant’s disqualification. Refusing collection, recording and use of their personal data that is strictly necessary to performing the Challenge will result in the Participant’s disqualification. The Participant is solely responsible for the information he/she provides when registering. Any intentional or unintentional mistake, anomaly or inconsistency, regarding this information, may result in the Participant’s disqualification. The Sponsor reserves the right to proceed with all necessary verifications regarding the Participant’s identity, postal and/or email address.

Deletion of a Participant’s user account on the Challenge website will be deemed as a withdrawal from the Challenge. In this case, the Participant, regardless of whether the deletion results from the Participant’s personal action or not, will not participate in the Challenge, and will not obtain any compensation.

You must also have accepted the Rules as well as the Terms and Conditions of Use and the Privacy Policy, during the creation of your user account and your registration to the Challenge.

Registration for and participation in the Challenge is free, with no purchase or payment obligation.

4.    ELIGIBILITY

This Challenge is open and offered solely to:

  • Students. Any individual aged eighteen (18) years and/or with full legal capacity, who (i) is currently enrolled at a post-secondary institution or (ii) has recently graduated from a post-secondary institution less than 2 years before the current academic year, with a student card as verification. Each Student may only participate once in each Challenge. If the participant is a minor, he/she must provide this authorization signed by a parent or guardian.

All the documents that may confirm the Participant’s eligibility may be required prior to awarding any prizes (e.g. identity document, student card etc.).

This Challenge is not open to employees and representatives of the Sponsor and Agorize and the members of their families.

This Challenge is void in countries where it is prohibited or restricted by law.

5.     PURPOSE OF THE CHALLENGE AND PARTICIPATION

Participation in the Challenge must be as a team.

  • Individual Participants may elect to form a team (“Team”) of 3 to 5 members maximum. Each Team member must accept these Rules, by clicking a hyperlink through the Agorize interface. Sponsor may disqualify any Team (and all its members) if one member has not accepted or violates these Rules.

The goal of the Challenge is for Participants to submit contributions (or projects) meeting the requirements determined by the Sponsor in the Challenge brief, and that are formalized by deliverables. The brief includes information regarding various deadlines, details of the prizes, Sponsor requirements etc. (the “Brief”). The Brief is accessible through the Challenge website.

6.     DELIVERABLES

During the Challenge, Participants may upload any documents or other materials (such as texts, presentations, videos, etc.) relating to their project to the Challenge website in response and as a solution to the Sponsor’s Challenge (the “Deliverable”).

To be eligible, Deliverables must (i) address the specific issue set out in the Brief, (ii) be in a common digital format, such as, DOC, DOCX, PDF, PPT, PPTX, KEY, ODT, MP3, MPEG, MOV, MP4, and (iii) be in English, and in general terms must comply with these Rules.

If a Deliverable cannot be downloaded, is not in the right format or is incompatible, illegible, or unintelligible, the Deliverable will be disqualified.

By submitting a Deliverable, the Participants make representations and warranties provided under section 11 below. :

Participants are responsible for and shall bear any costs or expenses associated with preparing and submitting Deliverables. Participants assume all risk for damaged, lost, late, incomplete, invalid, incorrect or misdirected Deliverables.

7.     CHALLENGE PROCESS

Challenge Rounds. The Challenge consists of several rounds: 

  • Round One. Deliverables will be accepted from 7 March 2023 to 30 April 2023 11:59 PM GMT+01/02 Paris time. At the end of this Round, up to 20 winning Teams will be pre-selected to proceed to Round Two.
  • Round Two. Deliverables will be accepted from 9 May 2023 to 11 June 2023 11:59 PM. GMT+01/02 Paris time. At the end of this Round, up to 8 winning Teams will be selected to proceed to the Final Round.
  • Final Round. Participants are not required to upload a Deliverable on the Challenge website for this Final Round.

Deliverable. If a Participant does not upload a Deliverable on the Challenge website before the deadline, this will be considered as a withdrawal from the Challenge. The Participant may not join the Challenge, and may not obtain any compensation from the Sponsor.

Selection Criteria. Deliverables will be judged according to the Selection Criteria, described below. You agree and acknowledge that the Challenge relies on your creativity, capacity, ability, and ingenuity to solve difficult problems. The Challenge does not depend, even partially, on chance or luck, and therefore should not be considered as a lottery. Under no circumstances are factors such as appearance, religion, membership in a trade union, political opinions or sexual orientation considered.

Notification to Participants. Once selection has been completed, Participants will be notified by email, phone, or by other means of the results of each Round. The Sponsor will be free to alter the dates on which results are released should this become necessary due to the number of projects to be assessed.  The ranking decided by the final jury will be announced on the day that presentations are made and will identify the Participants that are finalists.

A.    Round One

All Round One Deliverables must be submitted before 30thApril 2023 at 11:59 PM GMT+01/ 02 (Paris time). Deliverables must meet the specifications set out in Section 6, above, and include: 

  • A [5]-slides presentation that describes:
    • The problematization that you choose with elements that proves the relevance of the problem you want to tackle (user feedbacks, studies…)
    • Your service concept with value proposal and technical principles,
    • Your team, roles, skills and why you think we should select you for next round,
  • An introduction of the Participant based on the questionnaire to be filled in in their participation area, accessible through their user account.

 

Selection phase following Round One will proceed as follows:

“Criteria based” voting will take place from 2nd of May 8:00H AM to 5th of May 12:00H PM (noon) GMT+01/02 Paris time.

The voters (Sponsor members) (the “Voters”) may evaluate and select the Deliverables based on their content and the following criteria:

  • Relevancy and Impact (25%): How well does the Deliverable respond to the specific need(s) set out in the Brief? What is the scale of potential business impact? How broad is the impact? How many people will reach your solution?
  • Technical Feasibility (25%): How feasible is the solution to put into practice?
  • Business Value (25%): Are revenue perspectives significant? What is business development potential ? Does the solution make sense financially?
  • Environmental & Social Value (25%): Will the solution be sustainable over the long term? Will it help to reduce mobility CO2 & environmental impacts ? What is the scale of potential social impact?

Except as otherwise provided below, the 20 teams with the highest score at the end of this vote will win this vote and proceed to the next round.

Any attempt to cheat, use fake profiles, use third-party applications that enable false voting linked to cheating, or engage in duplicate voting of which the Sponsor becomes aware will result in the disqualification of the project that received these votes, and in the disqualification of this project’s Participants, who will not receive any prize or award. The Sponsor’s decision regarding disqualification is final and its decision may not be contested by Participants involved in the project in question or in any other Participant.

Participants will be informed of the results of the Round One by the 5th of May 2023 at 4:00 PM GMT+01/02 Paris time.

 

B.     Round Two

 

All Round Two Deliverables must be submitted before 11 June 2023 at 11:59 PM GMT+01/02 Paris time. Round Two Deliverables must meet the specifications set out in Section 6, above, and include:

 2 main deliverables:

1- Pitch deck up of 10 slides PPT or PDF: A document describing their Project and presenting, for example, the problem it tackles, the proposed solution, its impact and its business model.

  1. Mandatory: technical feasibility, service blueprint, MVP features and product increments, business revenue proposal, customer/user journey, user feedback
  2. A plus: interface mock-ups, 

2- One-minute video of their project MP4.

[Semi-final pitch with criteria-based voting]

“Criteria based” voting will take place from 12th of June/10AM GMT+01/02 Paris time to 12th of June/ 2PM GMT+01/02 Paris time.

The Semi-Final Round consists of an oral presentation of the 20 projects by the teams.

In the event a team does not confirm his/her attendance at the event, the Sponsor reserves the right, at its sole discretion, to disqualify this team. This disqualification shall not entitle the team and its participants to claim any kind of compensation from the Sponsor.

The voters (Sponsor members) (the “Voters”) may evaluate and select the Deliverables based on a 5mn pitch, a 5mn Q&A session on their content and the following criteria:

  • Relevancy and Impact (25%): How well does the Deliverable respond to the specific need(s) set out in the Brief? What is the scale of potential business impact? How broad is the impact? How many people will reach your solution?
  • Technical Feasibility (25%): How feasible is the solution to put into practice?
  • Business Value (25%): Are revenue perspectives significant? What is business development potential ? Does the solution make sense financially?
  • Environmental & Social Value (25%): Will the solution be sustainable over the long term? Will it help to reduce mobility CO2 & environmental impacts ? What is the scale of potential social impact?

Except as otherwise provided below, the 8 teams with the highest score at the end of this vote will win this vote and proceed to the next round.

Participants will be informed of the results of the Round Two by the 12th of June 2023 at 4:00 PM GMT+01/02 Paris time.

[Like Voting]

“Like” voting will take place from

13th of June 2023 at 8:00 AM GMT+01/02 Paris time to 18th of June at 12:00 PM (noon) GMT+01/02 Paris time.

The voters (Mobilize & Groupe RENAULT members known as Mobilizers) (the “Voters”) may evaluate the 1mn video pitch and participate in a vote by “liking” the Deliverable. Voters are permitted to cast a single like vote.

Except as otherwise provided below, the 1 one-minute video summary with the highest number of “likes” at the end of the selection will win this vote and will be the Final Heart Prize.

Any attempt to cheat, use fake profiles, use third-party applications that enable false voting linked to cheating, or engage in duplicate voting of which the Sponsor becomes aware will result in the disqualification of the project that received these votes, and in the disqualification of this project’s Participants, who will not receive any prize or award. The Sponsor’s decision regarding disqualification is final and its decision may not be contested by Participants involved in the project in question or in any other Participant.

C.    Final Round

Participants who have been selected to participate in the Final Round will be directly notified by email to the address provided during registration. In the event a team does not confirm his/her attendance at the final event, the Sponsor reserves the right, at its sole discretion, to disqualify this team. This disqualification shall not entitle the team and its participants to claim any kind of compensation from the Sponsor.

The Final Round consists of an oral presentation of the selected projects by the Participants. Participants are not required to upload a Deliverable to the Challenge website before the Final Round.

Participants can use the same Deliverable they used for the Semi Final or improve it.

This document will be used as a presentation document during the oral presentation given by the Participants involved in the Project.

At the end of the Final Round, the jury will choose the 2 winning projects and will rank the finalists. The 3rd winning project (Heart choice of Mobilizers) has been designated by the Like Voting and selected by Semi Final Jury.

8.     PRIZES

The prizes are awarded to the winners of the Challenge and are subject to compliance with the following cumulative conditions:

  • The Deliverables comply with Sections 6 and 11;
  • Each Participant of a winning project complies with Sections 9 and 11;
  • It can be proven that the winning Participants fulfill the conditions of eligibility of Section 4.

No prize will be awarded to winners who do not fulfill the above conditions.

Subject to these Terms and Conditions, once confirmed by Sponsor, the winner(s) will receive the following:

  • Grand Prize Category B2C of

    • Invitation to a sports OR cultural event hosted in La Défense Arena within the sponsorship of Mobilize Beyond automotive and La Défense Arena performance hall

Each member of a Participant Team will receive its own prize.

No assignment or transfer of prizes is allowed by a winner. If a potential winner cannot be reached, is unable to accept the prize or any portion of the prize for any reason, Sponsor shall have no further obligation to such potential winner. Sponsor will not replace any lost or stolen prizes after being awarded to winners. Winners will accept the prize “as it is” without any exchange for any other goods or services or compensation of any kind. Also, no cash equivalent will be provided. Sponsor disclaims any warranty regarding the Prizes.

In the event a Participant (a winner) cannot be reached, by email or by phone, for more than three (3) months after the first attempt to reach them was made, he/she will be deemed as having waived their right to claim the prize and will not be entitled to any prize or any kind of compensation.

If the prize as initially planned is unavailable, Sponsor will be free to substitute another prize of similar value. Any such decision is at Sponsor’s sole discretion.

No compensation will be given to participants if they are unable to travel by their own means for the internship opportunity and the sports OR cultural event hosted in La Défense Arena in Paris.

Any Participant who does not fulfill the conditions of Participation as provided in the Rules during their registration and/or at any time during the Challenge will be summarily disqualified from the Challenge without prior notice and will not be entitled to any prize. In the event that a prize is awarded to a Participant who does not meet the conditions of Participation when registering or throughout the duration of the Challenge, Sponsor reserves the right to require the Participant to return the awarded prize.

9.     COMMUNICATION 

The Participant acknowledges and consents that Sponsor may, throughout European Union, UK, Israël, China, India, Colombia & Brazil and for the duration of the Challenge and for a period of one 1 year following the Final Round,  use the Challenge for publicity, including for Sponsor’s advertising or other marketing purposes, by any means and through any format (website, advertising banners, social networks, newsletter, press release) now known or unknown to date, free of charge.

In particular, at the aforementioned ends, you consent to the use, by the Sponsor or its affiliates, of your name and surname, your city and region of residence, the name of the institution in which you studied or in which you obtained your diplomas and other biographical information, your image, your voice, the information regarding the Prize (if you are a winner), the name of your company and its distinctive signs (if you are a Startup) and any other personal data that you submit with your Deliverables as well as the content of your Deliverables relating to the Challenge. As such, you undertake to sign the following permissions to use your image and name.

As an example, each Participant authorizes the Sponsor to use the photographs taken during the Final to disseminate them via any communication medium.

Such use does not entitle the winner to any other payment than the Prize he/she received. The Sponsor agrees to cease use of the aforementioned elements in connection with the Participant at the end of the aforementioned period.

10.   CONFIDENTIALITY

For the purpose of this Challenge, the following terms shall have the following meaning ascribed to them:

  • “Information” shall refer to any information that is not public, whether designated or not as confidential by the Sponsor, relating to past, present or future products, trade and/or industrial secrets, product plans, technologies, research and development, vehicle, part or system specifications, financial information, information systems, screen shots, market studies, marketing strategies, business plans, drawings, plans, models, data, algorithms, prototypes, discoveries, methods, processes, procedures, improvements, know-how, data compilations, supplier relationships, customer identity and other customer information, price lists, pricing policies, and any other information transmitted by the Sponsor and/or its Affiliates to the Participant(s) concerning the Challenge and/or a Deliverable, as well as information received from Third Parties in respect of which the Sponsor and/or its Affiliates are bound by an obligation of confidentiality. The Information includes all the information referred to above regardless of the manner in which it is directly or indirectly disclosed (written, verbal, in the form of documentation, graphic presentation, electronically or by any other means) in the context of or in connection with the Challenge;
  • “Affiliate” shall refer to any entity that is directly or indirectly Controlled by, Controls or is under Common Control with a Party. For the purposes hereof, the terms “Controlled” and “Control” mean the direct or indirect holding of a majority of the voting rights or management power, whether through the power to appoint, remove or direct the administrative, management or supervisory bodies of such entity by virtue of a contractual agreement or otherwise. The following entities are deemed to be Affiliates of the Sponsor: (i) Ampère, (ii) Horse, (iii) Renault-Nissan B.V., (iv) Nissan Motor Co. Ltd., (v) Mitsubishi Motors Corporation, (vi) Alliance Purchasing Organization s.a.s., (vii) Alliance Ventures B.V. and (viii) their respective Affiliates.
  • Ampere” refers to the entity which shall be created and will be based in France under which Renault, as announced during its Capital Market Day on November 8, 2022 and subsequent press releases (all accessible via https://events.renaultgroup.com/), its activities and tangible or intangible assets relating to electric vehicles (including software) will be gathered. For the avoidance of doubt, Ampère will be Controlled by Renault, with minority shareholders involved before a potential IPO.
  • “Horse” refers to the entity which shall be created and will be based out of France under which Renault, as announced during its Capital Market Day on November 8, 2022 and subsequent press releases (all accessible via https://events.renaultgroup.com/), its activities and tangible or intangible assets relating to ICE/HEV/PHEV engines and gearboxes. The ambition is for Horse to become a global worldwide leader in efficient hybrid and ICE/HEV/PHEV activities which will be positioned to become a competitive privileged supplier for Renault Group and other OEM. For the avoidance of doubt, Horse will be Controlled by a joint venture in which Renault, on the one hand, and Geely Holding Group and Geely Automobile Holdings Limited, together and on the other hand, shall each hold fifty percent (50%) of the share capital and voting rights, it being specified that other potential minority investors that may contribute to the development of low and zero emissions powertrain industry might also be welcome.

Taking effect from the first participation to the Challenge, each Participant:

  • not to disclose the Information to a Third Party;
  • to use Information provided by the Sponsor and/or its Affiliates only within the framework and for the needs of the Challenge;
  • to limit access to the Information to team members who need access to it for the above-mentioned purposes and who are bound by equivalent confidentiality obligations;
  • to notify any person accessing to Information its Representatives of the confidential nature of the Information at the time they receive it;
  • to diligently return or destroy any Information provided by the Sponsor and/or its Affiliates at any time when requested to do so by the Sponsor and to immediately stop using it (if necessary, a copy may be kept for the purpose of ensuring compliance with the Challenge);
  • to treat the Information as confidential for a period of five (5) years from the expiry or termination of the Challenge.

The above provisions do not apply to any Information:

  • which, at the time of its disclosure or thereafter, is published or becomes available to the public otherwise than through an act or omission attributable to the Sponsor, its Affiliates and/or the concerned Participant;
  • which can be proven by the Participant through written documents to have been lawfully in its possession at the time of disclosure and which was not subject to a non-disclosure agreement at the time of said disclosure;
  • which the Participant can prove by written documents to have been acquired from a Third Party who was entitled to disclose it;
  • which the Participant can prove by written documents to have been independently developed by it without relying on any of the Information disclosed during the Challenge; or
  • regarding which the Participant notifies the Sponsor that it must be disclosed by the Participant pursuant to an enforceable decision or an applicable law or regulation, provided that (i) said disclosure is made only to the extent necessary to comply with the order, and (ii) the Participant notifies the Sponsor of such an obligation to disclose the Information as soon as possible in order to allow the Sponsor to take the necessary measures to secure a protective measure if it so wishes.

Furthermore, the above confidentiality provisions also apply to the Deliverables and the Results. However, such provisions shall not prevent the Results from being used under the conditions provided for in this Challenge.

At the end of the Challenge, each Participant shall cease to use the Information provided by the Sponsor (or its Affiliates as the case may be) and shall as soon as possible and at its expense, return to the Sponsor or destroy any document in its possession constituting Information without keeping a copy, it being specified that Information saved in a secure system that is administered with read restriction and governed by destruction cycles, need not be returned or destroyed. The above provision does not apply to the Results.

At the Sponsor’s request, the Participants undertake to issue a certificate certifying that all Information has been returned or destroyed, or complies with the security conditions described above. 

Furthermore, Participants acknowledge that the Sponsor may currently or in the future be developing Information internally, or receiving Information from other parties, that is similar to the Information contained in the Challenge and/or any of the Deliverables. Accordingly, nothing herein shall prohibit the Sponsor from independently acquiring, developing, or having developed for it, products, concepts, systems, services, or techniques that are similar to or compete with the products, concepts, systems or techniques contemplated by or embodied in any Deliverable.

The Participants recognize that other Participants, individuals or entities may have provided to the Sponsor or others, or made public, or may in the future submit, or make public, content that is the same or similar to any piece of Information contained in the Challenge and/or any of the Deliverables. . Hence, the Participants acknowledge, agree and accept that the Sponsor shall have the right to use such same or similar materials, and that the Participants will not be entitled to any compensation arising from the Sponsor’s use of such materials.

11.    INTELLECTUAL PROPERTY

Definitions. For the purposes of this section,

  • "Background Rights" means any element, knowledge or information of any nature, in any form and on any medium whatsoever, whether or not it can be protected or is protected by an intellectual and/or industrial property right (such as any application for a patent, software, copyright, know-how) acquired by either of the Parties either (i) prior to participating to the Challenge or (ii) concurrently with the performance of the Challenge and/or any Deliverable but in a manner strictly independent from the Challenge and/or considered Deliverable.
  • “Results” means any and all elements resulting from the performance of the Challenge and/or a Deliverable of any nature and in any form whatsoever, and in particular any Deliverable, knowledge, experience, inventions, know-how, method, tool design, process, specific component, plan, drawing, model, prototype, software, whether or not they are protected or protectable by an intellectual property right.

Warranty of non-infringement. When submitting any Deliverable, at any stage of the Challenge, each Participant expressly warrants to the Sponsor that he/she is the co/owner and/or co/holder of the Background Rights and Results contained in the Deliverables submitted at any stage of the Challenge, and that he/she has obtained all rights and permissions regarding all Background Rights and any elements of the Results for which he/she does not hold the relevant rights.

Each Participant expressly warrants to the Sponsor that the Results, in particular the creations and/or inventions, are not and shall not, at any time whatsoever, be subject to any Third Party rights that may engage the liability of the Sponsor. Each Participant also expressly warrants that the Results are and shall be usable, at any time, without recourse to technologies the use of which requires the agreement of a Third Party.

In this respect, the Participants shall indemnify and hold the Sponsor harmless, without limitation or reservation, from and against any and all disturbances, claims, dispossession, actions for infringement, actions for unfair competition and any other claim of any nature whatsoever arising from Third Parties, its employees, agents and servants, collaborators (in particular technical service providers, authors, artists and performers) or the assigns of the aforementioned persons that may be brought against the Sponsor, its Affiliates or licensees as a result of the performance of the Challenge or use of the Results.

In the event that the Deliverables or the Results infringe rights held by Third Parties, the Participants each undertake either to obtain from said Third Parties on behalf of the Sponsor, as the case may be, authorisation in any form whatsoever (assignment, authorisation, license) to exploit said rights and shall bear the related costs and royalties thereof, or, with the Sponsor’s written agreement, modify the Deliverables in such a way that, while complying with the specifications defined in the Brief, there is no infringement of the rights held by the Third Parties.

It is compulsory for Participants to indicate the source of any Background Rights of whichever nature and on whichever support that are included in any submitted deliverable. Any Deliverable involving several Participants constitutes a collaborative work and it should be treated as such in accordance with the applicable regulation in force.

Licenses. Each Participant hereby grants a worldwide royalty-free license (with sub-license rights) to the Sponsor, its Affiliates and/or its potential partner(s) in order to use, represent, reproduce, display, publish, distribute and adapt the documents submitted as part of his/her participation for advertisement or promotion for the entire duration of the intellectual property rights pertaining to the Deliverables and/or Results provided by French and foreign laws and international conventions, current and future, including any extensions that may be made to this duration.

In addition, in exchange for the technical and intellectual support provided by the employees of the Sponsor entities involved in the Challenge, each Participant hereby grants a royalty-free non-exclusive license, for the entire duration of the relevant intellectual property rights provided by French and foreign laws and the international conventions, current and future, pertaining to the Results to the Sponsor and/or its Affiliates (with sub-license rights). Such license may be used for research, industrial and/or commercial purposes, including to manufacture, have manufactured and sell products and/or services incorporating all or part of the said results and/or corresponding intellectual property rights. This license includes copyrights for reproduction, representation, digitization, adaptation, transformation, modification, publication, edition, distribution, use, integration of works by any means whatsoever in a reproduced version, partial and/or complete work, for any purpose whatsoever, in any format, for any type of activity, worldwide and for the whole of duration of literary and artistic property rights provided by French and foreign laws and the international conventions, current and future, including any extensions that may be made to this duration, with regard to the Results that can be protected by the copyright.

12.   MODIFICATION OF RULES, SUSPENSION AND

CANCELLATION OF THE CHALLENGE

 

Update of the Rules. The Sponsor reserves the right to amend these Rules at any time, including the Challenge duration in case of operational imperatives, without prior notice to Participants regarding the enforcement or the validity of these amendments.  Participants are encouraged to consult these Rules regularly. Participants expressly waive all claims or disputes related to any amendment to these Rules by the Sponsor.

Should any paragraph of these Rules be declared or judged illegal, unenforceable or void by a court decision, the paragraph in question will be considered null and void, but all other unaffected paragraphs will be enforced within the limits of the law.

 

Challenge Cancellation or Suspension. The Sponsor reserves the right in its discretion, to (i) cancel, terminate, modify or suspend the Challenge and these Rules, for any reason, at any time and without any liability, and (ii) to limit or restrict participation in the Challenge. The Sponsor will not be held liable for the modification, cancellation or suspension of the Challenge and no compensation or remuneration will be due to the Participants.

13.   LIMITATION OF LIABILITY

The Sponsor will in no way be held liable in the event of breakdown or failure, regardless of the cause, of any telecommunications network used that causes Participants difficulty in or prevents Participants from identifying themselves on or gaining access to the Challenge website.

Participants agree that the Sponsor, its Affiliates and all of their respective officers, directors, employees, contractors, representatives and agents (“released parties”) will have no liability whatsoever for, and will be released and held harmless by participants for any claims, liabilities, or causes of action of any kind or nature for any injury, loss or damages of any kind including direct, indirect, incidental, consequential or punitive damages to persons.  Without limiting the foregoing, everything on the Challenge website and in connection with the Challenge is provided “as is” without warranty of any kind, either express or implied, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.  Some jurisdictions may not allow the limitations or exclusion of liability for incidental or consequential damages or exclusion of implied warranties, in which case such limitation or exclusion shall apply only to the extent permitted by the law in the relevant jurisdiction.

Participation in the Challenge implies acknowledgement and acceptance of the characteristics, limits and risks of the internet and related technologies, particularly with regards to performance, response time, security of software and computer equipment against various potential attacks, such as viruses, logic bombs or Trojans, and loss or misuse of data. As a result, the Sponsor will not be held liable in any way for any damage incurred by Participants arising from these characteristics, limits and risks, which Participants accept by registering and taking part in the Challenge.

The Sponsor will not in any case be held liable for damages resulting from faults with or delays in the submission of deliverables by Participants, including refusal to accept these deliverables as a consequence of their submission outside the deadlines set out in the Rules, from faults with or delays to the sending of any emails by the Participant sent as part of the Challenge, or from any alterations made to the deliverables independently of the Sponsor.

The Sponsor will not in any case be held liable for damages resulting from services provided by a third-party relating to the prizes.

The Sponsor will not be held liable for the consequences of a Participant’s disqualification from the Challenge as a result of their violation of these Rules.

14.   PERSONAL DATA PROTECTION

Participation in the Challenge requires the communication of the Participant's personal data ("Personal Data").

Participant’s personal data is subject to processing within the meaning of the regulations on the protection of personal data (The EU 2016/679 General Data Protection Regulation and the Council of 27 April 2016, known as GDPR) for which the Sponsor defines the purposes and means and is, as such, “Data controller” within the meaning of the GDPR.

The purposes of the processing are:

  • To meet the organization of the Challenge needs
  • To organize the intermediation between the Participant and the Sponsor, to ensure identification, communication and preservation of the exchanges with the Participant

In accordance with the provisions of the GDPR, the Sponsor undertakes to implement organizational and technical security measures in order to protect all Participant’s Personal Data. The Sponsor undertakes these measures? to allow the exercise of Participants’  rights from GDPR.

15.   APPLICABLE LAW AND DISPUTES RESOLUTION

The Challenge and any action related thereto shall be governed by French law, to the exclusion of conflict-of-law rules.

Any dispute between the Parties, whether arising out of or relating directly or indirectly to the construction, performance, breach, or termination of the Challenge, shall be referred exclusively to the courts within the jurisdiction of the Paris Court of Appeal (Cour d’Appel).
