from Startups and R&D Teams

(the “Programme”)

  

PROGRAMME RULES

(the “Rules”)

  

This innovation Programme is sponsored by the United Nations Development Programme (UNDP)Global Centre for Technology, Innovation and Sustainable Development, 29 Heng Mui Keng Terrace, Block A #08-01, 119620 Singapore, Singapore (the “Sponsor”). 

The aim of these Rules is to set out the terms and conditions governing your participation in the Programme. By registering for this Programme, you fully and unconditionally agree to comply with these Rules.  If you do not agree with any of these Rules, do not register for this Programme and do not submit an entry.

  1. TERM

The application phase for the Cultiv@te programme begins on November 11th, 2019 at 23:00 SGT and ends on February 28th, 2020 at 23:00 SGT. The Programme’s application portal will be accessible 24 hours a day on the dedicated Programme website operated by Agorize at www.cultivate.technology (“the Programme website”), subject to possible IT maintenance operations and malfunctions. Dates and times in these Rules refer to Singapore Time (SGT).  

 

  1. AGREEING TO THE RULES

Any eligible person who is registered on the Programme website and enrols to participate in the Programme (“Participant” or “You”), is required to review and accept these Rules. By accessing and accepting these Rules, You: 

  1. enter into a valid and enforceable contractual relationship with Sponsor regarding participation in the Programme. The registration and enrolment in the Programme do not set up any subordination relationship between the Sponsor and the Participant, and
  2.  fully and unconditionally agree to comply with these Rules. Participants express their agreement by checking an online box while enrolling for the Programme. 

In case of non-respect of these Rules, the Participant will be immediately disqualified from the Programme and no Programme Award will be awarded. 

 

  1. REGISTRATION AND PARTICIPATION IN THE PROGRAMME 

To take part in the Programme, we must have received your completed registration by February 28th, 2020 23:00, Singapore Time.

To register, the Participant must first have created a user account on the Programme website, and must have truthfully and accurately completed required information, such as full name, email address, etc. 

Any registration based on inaccurate, false or incomplete information will result in the Participant’s disqualification. Refusing collection, recording and use of their personal data that is strictly necessary to performing the Programme will result in the Participant’s disqualification. The participant is solely responsible for the information he/she provides while its registration. Any intentional or non-intentional mistake, anomaly or inconsistency, regarding this information, may result in the Participant’s disqualification. The sponsor reserves the right to proceed with all necessary verifications regarding the Participant’s identity, postal and/or email address.

Deletion of a Participant’s user account on the Programme website will be deemed as a withdrawal from the Programme. In this case, the Participant, regardless of whether the deletion results from the Participant’s personal act or not, will not participate in the Programme, and will not obtain any compensation.

You must also have accepted the Rules as well as the Terms and Conditions of Use and the Privacy Policy, during the creation of your user account and your registration to the Programme. 

Registration for and participation in the Programme is free, with no purchase or payment obligation. 



  1. ELIGIBILITY

This Programme is open and offered solely to: 

  • Business entities, regardless of their business area. Startups need to fulfil the following criteria to be eligible: 
    • Technology should be at leastat a product-market fit stage, where a technically/scientifically viable product is available, and has its commercial viability validated. Startups must be able to demonstrate an emerging customer base/proof of traction, and the necessary business competencies to scale.
    • For tech-focused startups: The proposed technology should be at least meet the Technology Readiness Level 7 (refer to Technology Readiness Level Guide), which is a “fully functional prototype or representational model able to perform in the relevant environment”.
    • Startups may be required, in Sponsor’s sole discretion, to provide proof of (i) company registration by submitting a registration certificate issued within the last three (3) months, or ongoing company registration, or any trade registry and proof ensuring the registration of the entity in the relevant country,and (ii) a valid professional insurance policy subscription. 

 

  • Research Organisations.
    Entities, such as universities, research institutes or think tanks, irrespective of their legal status (organised under public or private law) or way of financing, whose primary goal is to conduct fundamental research, industrial research or experimental development. Technology-focused teams from research organisations should fulfil the following criteria to be eligible:

    The technology developed should at least meet the Technology Readiness Level 7 (refer to Technology Readiness Level Guide), which is a “fully functional prototype or representational model able to perform in the relevant environment”.

All the documents that may confirm the Participant’s eligibility will be required prior to selection for the Programme (e.g. identity document, company registration, letter/accreditation with an academic institution, etc.). 

 

This Programme is not open to employees and representatives of the Sponsor and Agorize and the members of their families. 

This Programme is void in countries where it is prohibited or restricted by law.

 

  1. PURPOSE OF THE PROGRAMME AND PARTICIPATION 

Application to the Programme must be submitted as teams from Startups or research organisations to ensure that the participating entities have back-up in case the main applicant is unable to participate in the activities of the programme. 

  • Teams from Startups.Startup Participants enter the Contest on behalf of their legal business organizations and propose a team of 3 members. During the registration process, Startup Participant must designate one individual who is part of the company for contact purposes with the Sponsor. This person will be responsible for registration of the Startup at the Programme and participate in the Programme on behalf of the Startup. As a Startup participating in this Programme, you represent and warrant to Sponsor that such person (i) is an authorized representative of Startup and is participating in the Programme on behalf of such company, and (ii) has obtained all necessary approvals to enter the Programme, including all persons qualified to grant any intellectual property rights to Sponsor.
  • Teams from Research Organisation ("R&D Team").A team must consist of 3 members. Each Team will have 1 representative enter the Contest. This person will be responsible for the team registration at the Programme and participate in the Programme on behalf of the Team. As a Team from research organization participating in this Programme, you represent and warrant to Sponsor that such person (i) is an authorized representative of the Team and is participating in the Programme on behalf of such research organisation, and (ii) has obtained all necessary approvals to enter the Programme, including all persons qualified to grant any intellectual property rights to Sponsor.

The goal of the Programme is for Participants to submit contributions (or projects) meeting the requirements determined by the Sponsor in the Programme brief, and that are formalized by deliverables. The brief includes information regarding various deadlines, details of the awards, programme timeline, Sponsor requirements, etc. (the “Brief”). The Brief is accessible through the Programme website. 

Selected Participants of Cultiv@te should commit at least one representative from their team to be physically present for:

  1. 12-days in-country activities in respective solution client country (likely sometime June to August 2020, depending on country)
  2. 3-5 days Final Global Gathering / Capstone in Singapore (TBD)

All travel and accommodation will be funded by the organisers. Unless specified, extra costs will be borne by the Participant. There is no participation fee.

Selected Participants of Cultiv@te should commit all team members to engage in:

  1. The Virtual Onboarding of Cohorts (from Apr 2020) that will introduce and induct the team into Cultiv@te;
  2. Other necessary online meetings.

More details on the Programme's code of conduct will be shared upon the selection of Participants. 

 

  1. DELIVERABLES (APPLICATION PHASE ONLY)

During the application phase of the Programme, Participants may upload any documents or other materials (such as texts, presentations, videos, etc.) relating to their project to the Programme website in response and as a solution to the Sponsor’s Programme (the “Deliverable”). 

To be eligible, Deliverables must (i) fulfill the Deliverable requirements set out in the Brief, (ii) be in a common digital format, such as DOC, DOCX, PDF, PPT, PPTX, KEY, ODT, MP3, MPEG, MOV, MP4, and (iii) be in English, and in general terms must comply with these Rules. 

If a Deliverable cannot be downloaded, is not in the right format or is incompatible, illegible, or unintelligible, the Deliverable will be disqualified. 

By submitting a Deliverable, Participants represent and warrant that:

  • The Deliverable exclusively includes contributions from a R&D Team or Startup.
  • Otherwise, if any content from a third party has been used in the development of the Deliverable, all rights, authorizations, and agreements necessary to submit the Deliverable and grant the rights mentioned herein have been obtained. The existence of uncredited third-party contributions in the Deliverable will result in the disqualification of the Deliverable and the related Participants; 
  • No other individual and/or entity is entitled to claim any rights from the use of the Deliverable; and
  • The content of the Deliverable does not and will not infringe or violate any rights of any third party or entity, including, without limitation, intellectual property rights, privacy, competition law, confidentiality, or any contractual or extracontractual right. All deliverables suspected of any law(s) and/or any third party’s right will be ineligible.

Participants are responsible for and shall bear any costs or expenses associated with preparing and submitting Deliverables. Participants assume all risk of damaged, lost, late, incomplete, invalid, incorrect or misdirected Deliverables. 

 

  1. APPLICATION PROCESS

The Programme application consists of several application rounds

  • Round One. Deliverables will be accepted from November 11th, 2019 23:00 SGT and ends on February 28th, 2020 23:00 SGT. At the end of this Round, up to 52 winning Deliverables will be selected to proceed to Round Two.
  • Round Two. Deliverables will be accepted from March 22nd, 2020 23:00 to March 31st, 2020 23:00. At the end of Round 2, up to 26 winning Deliverables will be selected for Cultiv@te. 

Deliverable. If a Participant does not upload the required Deliverables on the Programme website before the deadline, this will be considered as a withdrawal from the Programme. The Participant may not join the Programme, and may not obtain any compensation from the Sponsor. 

Selection Criteria. Deliverables will be judged according to the Selection Criteria, described below. You agree and acknowledge that the Programme relies on your creativity, capacity, ability, and ingenuity to solve difficult problems. The Programme does not depend, even partially, on chance or luck, and therefore should not be considered as a lottery. Under no circumstances are factors such as appearance, religion, membership in a trade union, political opinions or sexual orientation considered. 

Notification to Participants. Once the selection has been completed, Participants will be notified by email, phone, or by other means, at Sponsor’s discretion, of the results of each Round. The Sponsor will be free to alter the dates on which results are released should this become necessary due to the number of projects to be assessed.  The ranking decided by the final jury will be announced on the day that presentations are made and will identify the Participants that are finalists.

  • Round One

All Round One Deliverables must be received by Sponsor on or before February 28th, 2020 23:00 SGT. Deliverables must meet the specifications set out in Section 6, above, and include: 

  • A questionnaire through the platform, including the particulars of three members of the team 
  • Write-ups explaining how you intend to address each opportunity statement(s) that you have chosen, including: 
  • opportunity identified (entry-point for tech/innovation)
  • motivation for choosing this solution client (country) 
  • core technology/architecture/innovation
  • proposed contribution (What is the unique contribution that your team will make in addressing the challenges?)
  • value proposition/business impact
  • differentiation from competitors / other R&D teams

 

During Round One, voting will proceed with a criteria-based voting system, detailed below: 

Criteria-based voting

Criteria-based voting will take place from March 1st, 2020 08:00 SGT to March 20th, 2020 12:00 SGT.

The voters (UNDP Staff, Government Partners, Sponsors and Thematic Experts) (the “Voters”) may evaluate and select the Deliverables based on their content and the following criteria:

  • 30% Impact: What is the scale of potential impact (sustainability)? How broad is the impact? How many people will your solution reach? How significant is the impact?
  • 25% Innovation: How innovative is the solution in its use of new or existing technology to solve the problem described in the Brief? Are there other solutions available and if so, how does this differentiate from them? 
  • 20% Relevancy: How well does the Deliverable respond to the specific need set out in the Brief?
  • 20% Feasibility: How feasible is the solution to put into practice? Does the solution make sense financially? Will the solution be sustainable over the long term?
  • 5% Clarity: How well do you articulate your solution and the potential impact it will have on society?

Except as otherwise provided below, the 52 Participants with the highest score at the end of this vote will win this vote and proceed to the next round. 

Any attempt to cheat, use fake profiles, use third-party applications that enable false voting linked to cheating, or engage in duplicate voting of which the Sponsor becomes aware will result in the disqualification of the project that received these votes, and in the disqualification of this project’s Participants, who will not receive any prize or award. The Sponsor’s decision regarding disqualification is final and its decision may not be contested by Participants involved in the project in question or by any other Participant. 

  • Round Two

All Round Two Deliverables must be received by Sponsor on or before March 31st, 2020 23:00. Round Two Deliverables must meet the specifications set out in Section 6, above, and include:

  • A 10-slide presentation of their Project, in PPT or PDF format, and should include: 
  • company/R&D team profile
  • opportunity identified (entry-point for tech/innovation)
  • core technology/architecture/innovation
  • proposed contribution (What is the unique contribution that your team will make in addressing the challenges?)
  • value proposition/business impact
  • differentiation
  • operational feasibility 
  • team profile
  • A video demo (optional)



Interviews and final selection

Interviews and final selection will take place from  April 1st, 2020 08:00 SGT to April 24th, 2020 12:00 SGT. Participants will be contacted for suitable dates and times for virtual interviews between Round One and Two (March 21st 2020 to March 31st 2020)

The 52 shortlisted Participants from Round One will be required to undergo interviews, including a 10-min presentation of the Round Two deliverable, a 5-min Q&A related to the presentation, and a 20min additional general interview.

The voters (Sponsor members, Agorize community or members of the general public) (the “Voters”) may evaluate and select the Deliverables based on the quality of their presentations and proposals, also noting the following criteria set in the Brief:

  • 30% Impact: What is the scale of potential impact (sustainability)? How broad is the impact? How many people will your solution reach? How significant is the impact?
  • 25% Innovation: How innovative is the solution in its use of new or existing technology to solve the problem described in the Brief? Are there other solutions available and if so, how does this differentiate from them? 
  • 20% Relevancy: How well does the Deliverable respond to the specific need set out in the Brief?
  • 20% Feasibility: How feasible is the solution to put into practice? Does the solution make sense financially? Will the solution be sustainable over the long term?
  • 5% Clarity: How well do you articulate your solution and the potential impact it will have on society?

Except as otherwise provided below, the 26 Participants with the highest score at the end of this vote will win this vote and be selected for Cultiv@te. 

 

  1. CULTIV@TE PROGRAMME AWARD

Selected Participants are subject to all of the following. They are awarded to the selected Participants ("Awardees") of the Programme and are subject to compliance with the following cumulative conditions:

  • The Deliverables comply with Section 6 (“Deliverables”);
  • Each Participant complies with Sections 9 and 11;
  • It can be proven that the selected Participants fulfil the conditions of eligibility of Section 4.

No applicants will be selected who do not fulfill the above.

Subject to these Terms and Conditions, once confirmed by Sponsor, the selected Participants will receive the following:

  • Exclusive NetworkInternational exposure and crucial market/cultural intelligence in an emerging market. Mentoring from seasoned corporate and technology leaders. Engagements with influential policy, decision-makers and solution clients. 
  • Sponsored Visits to Beneficiary CountriesParticipants admitted into the programme will receive full sponsorship for one representative to travel to the beneficiary country respective to the country of which the Participant’s challenge statement is from. This includes economy-class air tickets and daily allowances subject to UNDP’s local allowance rates (Participants who come from the same country and do not need overseas travel will be provided daily allowances at the same rate). 
  • Investment OpportunitiesParticipants will have the opportunity to present their solutions to a specially-curated group of potential investors and solution clients, including venture capitalists, MNCs, Governments, UNDP and other development agencies who are partnering Cultiv@te to source innovative solutions and discover talented problem solvers.
  • Partnership OpportunitiesDuring the ideation and co-design activities planned at country-level: engagements with innovators (startups and researchers) that have complementary expertise and knowledge. Opportunities to discover new collaboration and business opportunities (e.g. commercialisation of R&D, joint ventures, IP licensing).
  • Address Policy and Regulatory BarriersConnections with leading public and private sector decision makers from 13 countries. Opportunities to highlight (and possibly tackle) policy and regulatory barriers pertinent in your tech solutions as well as barriers to market access in emerging markets.
  • Commercial Viability ValidationTesting of market-readiness and commercial viability of tech solutions in an emerging market context, adaptation to the local needs and opportunity to pursue the scaling of your solutions with public and private sector partners.
  • Prizes/AwardsPrize money and thematic awards from our partners to be confirmed. 

No assignment or transfer of Programme Award is allowed by an Awardee. If a potential Awardee cannot be reached, is unable to fulfil the full commitment to Cultiv@te, Sponsor shall have no further obligation to such potential Awardee 

In the event a Participant (an Awardee) cannot be reached, by email or by phone, for more than two (2) weeks after the first attempt to reach them was made, he/she will be deemed as having waived their right to the Programme Award and will not be entitled to the Programme Award or any kind of compensation.  

Any Participant who does not fulfil the conditions of Participation as provided in the Rules during their registration and/or at any time during the Programme will be summarily disqualified from the Programme without prior notice and will not be entitled to any award. In the assumption that a Programme Award is awarded to a Participant who does not meet the conditions of Participation when registering or throughout the duration of the Programme, Sponsor reserves the right to revoke the Programme Award of the Participant.

 

  1. COMMUNICATION 

The Participant acknowledges and consents that Sponsor may, throughout all global regions and for the duration of the Programme and for a period of two (2) years following Round Two, using the Programme for publicity, including for Sponsor’s advertising or other marketing purposes, (by any means and through any format (website, advertising banners, social networks, newsletter, press release) now known or unknown to date, free of charge or for a consideration. 

In particular, you consent the use, by the Programme Sponsor, of your name and surname, your city and region of residence, the name of the institution in which you studied or in which you obtained your diplomas and other biographical information, your image , the information regarding the Programme Award (if you are an Awardee), the name of your company and its distinctive signs (if you are a Startup) and any other personal data that you submit with your Deliverables as well as the content of your Deliverables relating to the Programme. 

As an example, each Participant authorizes the Sponsor using the photographs taken during Cultiv@te to disseminate them via any communication medium.

Such use does not entitle the Awardee to any other payment than the Programme Award he/she received. The Sponsor agrees to cease using the aforementioned elements in connection with the Participant at the end of the aforementioned period.

 

  1. CONFIDENTIALITY

Sponsor has no obligation to keep the information contained in the Deliverables confidential. In general terms, when submitting any Deliverables, the Participants understand, agree and accept that any information contained therein may be publicly disclosed by the Sponsor.

If you are an Awardee, Sponsor may request that you execute a confidentiality/non-disclosure agreement for the purpose of entering into negotiations regarding the further development of your project, as described in your Deliverable.  Such confidentiality/non-disclosure agreement will be directed to your Deliverable and all intellectual property that it may contain.

Furthermore, Participants acknowledge that Sponsor may currently or in the future be developing information internally, or receiving information from other parties, that is similar to the information contained in any of the projects. Accordingly, nothing herein shall prohibit Sponsor from independently acquiring, developing, or having developed for it, products, concepts, systems, services, or techniques that are similar to or compete with the products, concepts, systems or techniques contemplated by or embodied in any Deliverable. 

The Participants recognize that other Participants, individuals or entities may have provided Sponsor or others, or made public, or may in the future submit, or make public, content that is the same or similar to any piece of information contained in any of the projects. Hence, the Participants acknowledge, agree and accept that Sponsor shall have the right to use such same or similar materials, and that the Participants will not be entitled to any compensation arising from Sponsor’s use of such materials. 

 

  1. INTELLECTUAL PROPERTY

Definitions. For the purposes of this section, 

  • "Intellectual Property Rights" refers to any copyright or other rights over a brand, a design or a model, a patent and, more generally, any element, (including trade secrets and know-how), that may be protected by national and/or international laws or conventions on intellectual property (“Intellectual Property Rights”)
  • “Previous Rights” refer to any Intellectual Property Rights and/or any associated know-how held by the Participants before the start date of the Programme (“Previous Rights”) 
  • “Creations” refer to any software (including source and object code software), database, technical specifications, text, design, model, information, knowledge, method, process or product, as well as any resulting elements and/or processes likely or otherwise to be protected according to national and/or international laws or conventions on intellectual property developed by any Participant as a part of any submitted deliverable throughout the Programme (“Creations”).

Warranty of non-infringement. When submitting any Deliverable, at any stage of the Programme, each Participant guarantees to Sponsor that he/she is the co/owner and/or co/holder of the Intellectual Property Rights regarding all or part of the Creations  contained in the Deliverables submitted at any stage of the Programme, and that he/she has obtained all rights and permissions regarding all pre-existing Creations and any elements of the Deliverables for which he/she does not hold the relevant rights.

Each Participant guarantees (i) that his/her contribution is original and unprecedented; (ii) that it do not infringe upon the copyright or any Intellectual Property Rights of any third party; (iii) that all the elements of which his/her submissions are formed, as well as all pieces of contributions and information communicated in the submission presentation documents are accurate, reliable and complete; and (iv) that the submission of the relevant Deliverables does not constitute an act of unfair competition of any kind.

It is compulsory for Participants to indicate the source of any pre-existing Creations of whichever nature and on whichever support that are included in any submitted deliverable. Any Deliverable involving several Participants constitutes a collaborative work and it should be treated as such in accordance with the applicable regulation in force.

Liability. Sponsor cannot be held liable for any infringement of the above provisions by Participants. Each Participant shall indemnify Sponsor against any disturbance, action, claim, opposition and demand or eviction attempt from any third party in connection with any Creation in the Deliverables (Intellectual Property Rights included). 

Participant owner of Intellectual Property rights

By submitting a Deliverable and participating in this Programme, you are not granting Sponsor or official Programme Partners any rights to any intellectual property supporting all of part of the Deliverable and Sponsor makes no claim to ownership of your Deliverable or any intellectual property that it may contain. 

By accepting these Rules, Participants who are Awardees of the Programme grant an exclusive option for the Sponsor and official Programme Partners  to purchase part or all of the intellectual property rights included in any of the Deliverables and to the Creations submitted during the Programme.

This option is subject to the following and cumulative conditions: 

  • the Sponsor and official Programme Partners will benefit from an exclusive purchase option for a duration of fifteen (15) months from the global launch of the Cultiv@te Programme (i.e. until 3 months after its intended completion);
  • it is understood that any affiliates and/or subsidiaries of the official Programme Partners may exercise this purchase option; 
  • the Sponsor and official Programme Partners shall notify the Participant in writing of its intention to exercise the option;
  • negotiations will be exercised based on good faith between the involved parties;
  • if the involved parties so agree, any monetary compensation comprised in the Programme Award could be understood as the entire or a part of the purchase price.

 

  1. MODIFICATION OF RULES, SUSPENSION AND CANCELLATION OF THE PROGRAMME

 

Update of the Rules. The Sponsor reserves the right to amend these Rules at any time, including the Programme duration in case of operational imperatives, without prior notice to Participants regarding the enforcement or the validity of these amendments.  Participants are encouraged to consult these Rules regularly. Participants expressly waive all claims or disputes related to any amendment to these Rules by the Sponsor. 

Should any paragraph of these Rules be declared or judged illegal, unenforceable or void by a court decision, the paragraph in question will be considered null and void, but all other unaffected paragraphs will be enforced within the limits of the law.

Programme Cancellation or Suspension. The Sponsor reserves the right in its discretion, to (i) cancel, terminate, modify or suspend the Programme and these Rules, for any reason, at any time and without any liability, and (ii) to limit or restrict participation in the Programme. The Sponsor will not be held liable for the modification, cancellation or suspension of the Programme and no compensation or remuneration will be due to the Participants.

 

  1. LIMITATION OF LIABILITY

The Sponsor will in no way be held liable in the event of breakdown or failure, regardless of the cause, of any telecommunications network used that causes Participants difficulty in or prevents Participants from identifying themselves on or gaining access to the Programme website.

Participants agree that company, its affiliates and all of their respective officers, directors, employees, contractors, representatives and agents (“released parties”) will have no liability whatsoever for, and will be released and held harmless by participants for any claims, liabilities, or causes of action of any kind or nature for any injury, loss or damages of any kind, including direct, indirect, incidental, consequential or punitive damages to persons, including without limitation disability or death.  Without limiting the foregoing, everything on the Programme website and in connection with the Programme is provided “as is” without warranty of any kind, either express or implied, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Some jurisdictions may not allow the limitations or exclusion of liability for incidental or consequential damages or exclusion of implied warranties, in which case such limitation or exclusion shall apply only to the extent permitted by the law in the relevant jurisdiction. 

Participation in the Programme implies acknowledgment and acceptance of the characteristics, limits, and risks of the internet and related technologies, particularly with regards to performance, response time, security of software and computer equipment against various potential attacks, such as viruses, logic bombs or Trojans, and loss or misuse of data. As a result, the Sponsor will not be held liable in any way for any damage incurred by Participants arising from these characteristics, limits and risks, which Participants accept by registering and taking part in the Programme.

The Sponsor will not, in any case, be held liable for damages resulting from faults with or delays in the submission of deliverables by Participants, including refusal to accept these deliverables as a consequence of their submission outside the deadlines set out in the Rules, from faults with or delays to the sending of any emails by the Participant sent as part of the Programme, or from any alterations made to the deliverables independently of the Sponsor.

The Sponsor will not, in any case, be held liable for damages resulting from services provided by a third party relating to the awards.

The Sponsor will not be held liable for the consequences of a Participant’s disqualification from the Programme as a result of their violation of these Rules.

 

  1. PERSONAL DATA PROTECTION 

Participation in the Programme requires the communication of the Participant's personal data ("Personal Data"). 

Participant’s personal data is subject to processing within the meaning of the regulations on the protection of personal data (The EU 2016/679 General Data Protection Regulation and the Council of 27 April 2016, known as GDPR) for which the Sponsor defines the purposes and means and is, as such, “Data controller” within the meaning of the GDPR.

The purposes of the processing are: 

  • To meet the organization of the challenge needs 
  • To organize the intermediation between the Participant and the Sponsor, to ensure identification, communication and preservation of the exchanges with the Participant

In accordance with the provisions of the GDPR, the Sponsor undertakes to implement organizational and technical security measures in order to protect all Participant’s Personal Data. The Sponsor undertakes to allow the exercise of their rights from GDPR. 

 

  1. APPLICABLE LAW AND DISPUTES RESOLUTION

The Parties shall use good faith efforts to settle amicably any dispute, controversy or claim. Where the Parties wish to seek such an amicable settlement through conciliation, the conciliation shall take place in accordance with the UNCITRAL Conciliation Rules then obtaining, or according to such other procedure as may be agreed between the Parties.

Any dispute, controversy or claim between the Parties which is not settled amicably in accordance with the foregoing paragraph shall be referred to arbitration under the United Nations Commission on International Trade Law (UNCITRAL) Arbitration Rules then in force. The arbitral tribunal shall have no authority to award punitive damages. The Parties shall be bound by any arbitration award rendered as a result of such arbitration as the final adjudication of any such controversy, claim or dispute.
